Terms of Service

1. Acceptance of Terms
By accessing or using the Brinix platform at brinix.io and app.brinix.io (the "Service"), you agree to these Terms. If you use the Service on behalf of an organization, you represent authority to bind that organization. If you do not agree, do not use the Service.
2. The Service
Brinix is a brand asset management platform for storing, organizing, and collaborating on digital brand assets. Features include cloud storage, AI-powered tagging and search, version control, approval workflows, team collaboration, multi-tenant organization management, file conversion, and API access.
3. Accounts
You need a valid email address to create an account or accept an invitation. You are responsible for your account security — do not share authentication links or tokens. Notify us immediately of unauthorized access. The Service supports different roles (Owner, Admin, Member) with varying permissions based on your organization's plan.
4. Your Content
You own your content. Brinix does not claim ownership. By uploading, you grant us a limited license to host, store, process, display, and transmit your content solely to provide the Service (including AI processing for tags, thumbnails, metadata). This license ends when you delete your content or account.
You agree not to upload content that infringes third-party rights, contains malware, is unlawful, or violates any applicable law. We may remove content that violates these Terms with reasonable notice.
5. Acceptable Use
You agree not to: use the Service unlawfully; attempt unauthorized access; interfere with the Service; send spam; reverse engineer any part of the Service; use bots or scrapers without consent; circumvent security features; or resell the Service.
6. Payment
The Service offers free and paid plans. Paid subscriptions are billed monthly or annually in advance and are non-refundable except as required by law. We may change prices with 30 days' notice, effective at your next billing cycle. You may cancel anytime — access continues until the end of your billing period.
7. Organizations and Teams
Organization administrators manage members, permissions, and content. The Service supports agency-client relationships — both parties are responsible for their own asset ownership and usage agreements. Administrators are responsible for content and data within their organization; Brinix processes it on their behalf per our Privacy Policy.
8. AI Features
The Service uses AI for auto-tagging, search, and metadata extraction. AI outputs are provided "as-is" and may not always be accurate. We do not use your content to train general-purpose AI models. AI-generated metadata associated with your content is considered part of your content.
9. Intellectual Property
The Service's design, code, and branding are owned by Brinix and protected by intellectual property laws. If you provide feedback or suggestions, you grant us a royalty-free license to use them without obligation.
10. Disclaimers and Liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. BRINIX DOES NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRINIX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
You agree to indemnify Brinix from claims arising from your use of the Service, violation of these Terms, or your content.
11. Termination
You may terminate your account anytime. We may suspend or terminate access for Terms violations or legal requirements, with reasonable notice when possible. After termination, your content is available for export for 30 days, then may be deleted per our Privacy Policy.
12. Disputes
Before formal claims, contact [email protected] to attempt informal resolution for at least 30 days. These Terms are governed by applicable law. Unresolved disputes go to the competent courts of the jurisdiction where Brinix, Inc. is incorporated.
13. General
These Terms and our Privacy Policy are the entire agreement. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without consent; we may assign freely. We may modify these Terms with 30 days' notice — continued use means acceptance.
